Terms of Service
These Terms of Service ("Terms") govern your access to and use of LithoPrime ("the Platform"), a B2B marketplace for stone and materials trading. By creating an account or using the Platform, you agree to be bound by these Terms.
No transactions take place on LithoPrime
LithoPrime is a discovery and communication platform only. We help buyers and vendors find each other and exchange information. All purchase, payment, shipping, and delivery arrangements happen directly between the buyer and vendor, off-platform. LithoPrime is not a party to any sale, does not take title to goods, does not process or hold buyer-vendor payments, and does not act as an escrow, broker, or agent for either side. Fees paid to LithoPrime (subscriptions, credits, add-ons) are for platform access and visibility services only.
1. Account Terms
- You must be at least 18 years old and represent a legitimate business entity.
- You must provide accurate, complete registration information including your business name, location, and applicable trade identifiers (Company ID, Import-Export Code).
- You are responsible for maintaining the security of your account credentials.
- One person or business may maintain one account per role (Buyer or Vendor). Duplicate accounts may be suspended.
- Read-only fields (Company Legal Name, Company ID, Country, Import-Export Code) cannot be changed after registration. Contact support for corrections.
2. User Roles
Buyers
- Free: Browse listings, request quotes, and communicate with vendors via listing-based chat.
- Premium: All Free features plus Vendor Network access, direct messaging, and priority support.
Vendors
- Free: Create and manage listings, respond to quotes, access listing-based chat.
- Premium: All Free features plus Vendor Network listing, direct messaging, boosts, and enhanced visibility.
3. Marketplace Rules
- All listings must accurately describe the stone or material offered.
- Listings undergo review by platform administrators before being published. We reserve the right to reject, suspend, or remove listings that violate these Terms.
- Pricing should be stated in the listing currency with clear unit specification (per sqft, per ton, per piece, etc.).
- Vendors may select up to 6 vendor types that accurately represent their business activities.
- Misleading descriptions, fake reviews, or deceptive practices are prohibited.
4. Vendor Obligations
- Respond to quote requests in a timely manner (we recommend within 48 hours).
- Maintain accurate business information and listing details.
- Comply with all applicable laws regarding the sale and export of stone and mineral products, including CITES regulations where applicable.
- Possess valid licenses, permits, and certifications required by your jurisdiction for quarrying, processing, or trading stone materials.
- Honor quoted prices and terms unless explicitly noted as estimates or subject to change.
5. Buyer Rights
- Receive accurate information about listed products and services.
- Request quotes from multiple vendors for comparison.
- Report vendors who engage in deceptive practices or fail to meet agreed-upon terms.
- Use the Platform's reporting and feedback tools when off-platform dealings with a vendor have gone wrong (note: LithoPrime is not a party to those dealings — see section 8).
6. Premium Subscriptions
- Premium plans are billed on a recurring basis (monthly or annual) as selected at enrollment.
- Subscriptions auto-renew unless cancelled before the renewal date.
- Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused time.
- Premium features (Vendor Network access, Direct Messaging) revert to free-tier access upon subscription expiry.
- Refund rules for subscriptions, credit packs, add-ons, and existing credit balance are governed by our Refund Policy.
7. Listing Boosts
- Boosts promote listings to the top of search results for a set duration (typically 8 hours).
- Boosts are non-refundable once activated.
- Boosted listings must still comply with all marketplace rules and listing guidelines.
8. Dispute Resolution
The Platform facilitates introductions between buyers and vendors. Any sale, purchase, payment, shipping, or contractual arrangement between users occurs off-platform and directly between those users; LithoPrime is not a party to it and has no responsibility for performance, payment, delivery, or quality. In the event of a dispute between users:
- Users should first attempt to resolve disputes directly through Platform messaging or off-platform contact.
- If direct resolution fails, either party may submit a support ticket. LithoPrime may, at its sole discretion, offer informal mediation but is not obligated to do so and any such assistance does not make us a party to the underlying transaction.
- For trade between platform users involving international shipping, applicable Incoterms and trade law govern the relationship between buyer and vendor.
9. Intellectual Property
- Users retain ownership of content they upload (images, descriptions, logos).
- By uploading content, you grant LithoPrime a non-exclusive, worldwide license to display that content on the Platform for the purpose of operating the marketplace.
- The LithoPrime brand, logo, and platform design are proprietary and may not be reproduced without permission.
10. Limitation of Liability
LithoPrime provides the Platform on an "as is" basis. We do not guarantee the quality, safety, authenticity, or legality of listed materials, the accuracy of listing information, the identity or solvency of any user, or the ability or willingness of any vendor or buyer to complete an off-platform transaction. We are not liable for any direct, indirect, incidental, or consequential losses arising from interactions or transactions between users. Our total liability is limited to the amount of fees you paid to LithoPrime in the 12 months preceding any claim.
11. Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the platform community. Users may delete their accounts at any time through account settings or by contacting support.
12. Governing Law
These Terms are governed by and construed in accordance with applicable international commercial law. Any disputes not resolved through mediation shall be subject to binding arbitration under the rules of the International Chamber of Commerce (ICC).
